1. Acceptance of Terms
Welcome to Loam Nutrition. These Terms of Service (“Terms”) govern your access to and use of the Loam Nutrition mobile application, website, and all related content, features, and services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
2. Eligibility
The Service is intended for individuals 18 years of age or older (or the age of majority in your jurisdiction). By using the Service, you represent and warrant that:
you are at least 18 years old, and
you have the legal capacity and authority to enter into these Terms.
The Service is not intended for children, and you may not use the Service on behalf of a child without all permissions required by applicable law.
3. Registration and Account Security
To access certain features of the Service, you may be required to create an account.
You agree to:
provide accurate, current, and complete information during registration;
keep your account information up to date;
maintain the confidentiality of your login credentials; and
promptly notify us of any unauthorized use of your account or any other breach of security.
You are responsible for all activities that occur under your account, whether or not you authorized them.
4. License to Use the Service
Subject to your compliance with these Terms, Loam grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable, and revocable license to download and use the Service on devices you own or control for your personal, non‑commercial use.
We reserve all rights in and to the Service not expressly granted to you in these Terms.
5. User Content
“User Content” means any information, data, text, images, logs, entries, or other content that you upload, submit, post, or otherwise make available through the Service (including food logs, wellness entries, notes, AI prompts, and feedback).
You retain ownership of your User Content. By submitting User Content to or through the Service, you grant Loam a worldwide, non‑exclusive, royalty‑free, fully paid, transferable license to:
use, host, store, copy, display, reproduce, modify, adapt, translate, and create derivative works from your User Content; and
use such User Content to operate, maintain, develop, and improve the Service (including AI and analytics features), and to provide the Service to you and other users.
This license is limited to the purposes described above and continues for as long as your User Content is stored by us, subject to applicable law and our Privacy Policy.
You represent and warrant that:
you either own your User Content or have all rights, licenses, consents, and permissions necessary to grant the license described above; and
your User Content, and our use of it in accordance with these Terms, does not and will not infringe, misappropriate, or violate any third‑party rights (including privacy, publicity, intellectual property, or contractual rights) or any applicable law.
We may, but have no obligation to, monitor, review, or remove User Content at our discretion.
6. Prohibited Uses
You agree not to use the Service:
in any way that violates any applicable federal, state, local, or international law or regulation;
to post, upload, or transmit any content that is unlawful, deceptive, defamatory, harassing, hateful, or otherwise objectionable;
to transmit any advertising or promotional material, including “junk mail,” “chain letters,” “spam,” or similar solicitations, except as expressly permitted;
to impersonate or attempt to impersonate Loam, a Loam employee, another user, or any other person or entity;
to reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying models from the Service, except where permitted by law;
to interfere with or disrupt the operation of the Service, including by introducing viruses, malware, or other harmful code; or
to engage in any conduct that, as determined by us, restricts or inhibits anyone’s use or enjoyment of the Service, or that may harm Loam, our users, or expose us or them to liability.
We may investigate and take appropriate legal action against any violations, including suspending or terminating accounts.
7. Health and Nutrition Disclaimer
Loam Nutrition is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. The Service is intended for informational, educational, and self‑tracking purposes only.
The content provided through the Service—including nutritional information, ingredient information, wellness guidance, AI‑generated outputs, and any coaching or educational materials—is not a substitute for professional medical advice, diagnosis, or treatment. You should always seek the advice of a qualified healthcare provider with any questions you may have regarding your health, medical conditions, medications, or diet.
You should never disregard professional medical advice or delay seeking it because of information you obtain through the Service. If you are pregnant, breastfeeding, trying to conceive, have a medical condition, or are taking medication, you should consult a healthcare provider before making changes to your diet, supplements, or lifestyle.
If you think you may have a medical emergency, call your doctor or local emergency number immediately.
8. AI‑Powered Features
The Service may include AI‑powered tools that generate responses, suggestions, summaries, or other content based on information you provide.
You understand and agree that:
AI‑generated content may be incomplete, inaccurate, or not tailored to your specific circumstances;
AI outputs are provided for informational and educational purposes only and are not medical advice;
you are responsible for reviewing AI outputs critically and for using your own judgment and seeking professional advice where appropriate; and
we may use your interactions with AI features to operate, maintain, and improve our models and related services in accordance with our Privacy Policy.
You should not rely on AI‑generated content for decisions that could result in harm to you or others.
9. Intellectual Property
The Service and all content, features, and functionality (other than User Content), including software, text, graphics, logos, icons, images, and designs, are and will remain the exclusive property of Loam and its licensors and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right to use Loam’s name, trademarks, logos, domain names, or other brand features without our prior written consent.
Any feedback, suggestions, or ideas you submit about the Service may be used by Loam without restriction and without compensation to you.
10. Third‑Party Services
The Service may link to or integrate with third‑party websites, apps, or services (including app stores, payment processors, and analytics or communication tools). Loam does not control and is not responsible for third‑party content, products, services, or privacy practices.
Your use of third‑party services is at your own risk and is governed by the terms and policies of those third parties.
11. Termination and Suspension
We may suspend or terminate your access to the Service, or any portion of it, at any time and for any reason, including if we believe that:
you have violated these Terms or any applicable law;
your use of the Service poses a security or legal risk; or
the Service is no longer commercially viable.
We will, when reasonably possible, provide notice before termination or suspension, but we are not required to do so in all cases.
You may terminate your account at any time by deleting your account through the app settings (where available) or by discontinuing use of the Service. Certain provisions of these Terms will survive termination, including those relating to intellectual property, disclaimers, limitations of liability, and dispute resolution.
12. Disclaimer of Warranties
You use the Service at your own risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied.
To the fullest extent permitted by law, Loam disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non‑infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Service will be accurate, complete, reliable, available, secure, error‑free, or uninterrupted, that defects will be corrected, or that the Service is free of viruses or other harmful components.
13. Limitation of Liability
To the fullest extent permitted by law, in no event shall Loam or its directors, officers, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to:
your access to or use of, or inability to access or use, the Service;
any conduct or content of any third party on or via the Service;
any content obtained from the Service (including AI‑generated content); or
unauthorized access, use, or alteration of your transmissions or User Content.
In no event shall Loam’s total liability for all claims relating to the Service exceed the greater of (a) the amounts you paid Loam, if any, for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Loam and its directors, officers, employees, partners, agents, suppliers, and affiliates from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
your use of or access to the Service;
your User Content;
your violation of these Terms; or
your violation of any rights of another person or entity.
15. Governing Law; Dispute Resolution
These Terms and any dispute or claim arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Optional but recommended: you may want to include an arbitration and class‑action waiver clause here. That’s a strategic legal decision—have counsel draft or approve it.
If you do not use arbitration, keep:
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction and venue of such courts.
16. Changes to the Service
We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by updating the “Last Updated” date at the top of these Terms and, where appropriate, by providing additional notice (such as a notice in the app or by email).
Your continued access to or use of the Service after the revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
18. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any additional terms presented in connection with specific features, constitute the entire agreement between you and Loam regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms without restriction.
